- Final Payments: The remaining balance is due upon project completion and before final deliverables are released or websites are deployed.
- Late Payments: Any outstanding balance not cleared within thirty (30) days of invoicing may incur a late payment fee, as outlined in the signed contract. In cases of prolonged delay, Logo Valley Pro reserves the right to pause or terminate services.
- Refunds: Payments are non-refundable once services have been initiated or completed, unless otherwise agreed upon in writing.
By submitting payment, you confirm your acceptance of these financial obligations.
Intellectual Property
Unless otherwise agreed, all creative works, designs, code, and related materials developed by Logo Valley Pro remain our intellectual property until full and final payment is received. Once payment is completed, ownership of the approved deliverables is transferred to you, granting you full usage rights.
However, Logo Valley Pro retains the right to:
- Showcase the work in our portfolio, website, or promotional materials.
- Use anonymized elements of completed projects for case studies or marketing purposes.
Should you require strict confidentiality or exclusivity, these conditions must be agreed upon in writing prior to project commencement.
User Responsibilities
To ensure a productive working relationship, you (the client) agree to:
- Provide Accurate Information: Supply accurate, complete, and timely details necessary for the successful completion of the project.
- Content Ownership: Ensure you hold the legal rights for all content (text, images, videos, logos, etc.) provided to Logo Valley Pro. We are not liable for third-party claims arising from unauthorized use of content.
- Collaboration: Respond to communications, feedback, and revision requests promptly to avoid unnecessary project delays.
- Legal Compliance:Use our services in compliance with all applicable local, national, and international laws.
Failure to fulfill these responsibilities may impact timelines and outcomes, for which Logo Valley Pro will not be held responsible.
Limitation of Liability
Logo Valley Pro aims to deliver high-quality creative and digital services. However, we do not guarantee specific results such as ranking positions, sales increases, or user engagement levels, as these outcomes may depend on factors outside our control.
To the maximum extent permitted by law:
- Logo Valley Pro shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, business opportunities, or data.
- Our liability for any claim relating to our services shall not exceed the total amount paid for the specific project in question.
Termination
- By Logo Valley Pro: Services may be terminated if we reasonably suspect a violation of these Terms, non-payment, or misuse of services.
- By Client: You may terminate services at any time by providing written notice. Payment for all work completed up to the date of termination will remain due.
Any termination does not affect rights and obligations accrued prior to the termination date.
Governing Law and Dispute Resolution
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the jurisdictions where Logo Valley Pro operates (United States and Canada).
- Negotiation or Mediation: In case of disputes, both parties agree to first attempt resolution through direct negotiation or mediation.
- Legal Proceedings: If unresolved, disputes will be handled by competent courts in the relevant jurisdiction.
